Overhear Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you and Overhear (“Overhear”, “we”, “us”) governing your use of the Overhear website and application (the “Service”). By using the Service, including entering the beta and using the translation features, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Overhear captures audio you choose to share, transcribes the speech, and translates it into another language, live, and lets you export a transcript. The Service is currently in private beta: it is provided for evaluation, may change or be unavailable, and may contain errors. Translation and transcription are produced by automated systems and will not always be accurate: do not rely on them for decisions where errors could cause harm (for example, medical, legal, financial, or safety-critical use).

3. Eligibility and accounts

You must be at least 13 years old (or the minimum age in your country) to use the Service. (Planned) When accounts launch, you are responsible for your login credentials and for activity under your account, and you agree to provide accurate information and keep it current. Tell us promptly at support@overhearapp.com if you suspect unauthorized use.

4. Acceptable use

You agree not to:

  • use the Service to infringe anyone’s copyright, privacy, or other rights, including capturing or translating audio you do not have the right to use;
  • capture or record other people without any consent required by the laws that apply to you;
  • use the Service for unlawful, harmful, deceptive, or abusive purposes;
  • attempt to break, overload, reverse-engineer, scrape, or circumvent the Service, its rate limits, or its security (including the beta gate);
  • resell or provide the Service to third parties except as expressly permitted.

You are responsible for the audio you choose to process and for having the rights and any consents needed to do so. Overhear provides a tool; how you use it is your responsibility.

5. Your content

“Your Content” means the audio you supply and the transcripts and translations produced from it. As between you and us, you own or are responsible for Your Content. You grant us only the limited license needed to operate the Service: to process your audio and text through our providers to produce and return the translation to you, as described in the Privacy Policy. We do not claim ownership of Your Content and do not use it to train AI models. We do not store your audio recordings.

6. Intellectual property

The Service itself, including its software, design, and branding (the Overhear name and logo), belongs to us or our licensors and is protected by law. These Terms grant you a personal, non-exclusive, non-transferable, revocable license to use the Service as intended. You may keep and use the transcripts and translations you generate.

7. Plans, payment, and refunds (planned)

When paid plans launch:

  • Plans are described at the point of purchase, including price, the amount of audio included, and any overage charges. The plans are: Pay-per-use at USD $1 per audio-hour with no monthly commitment; Starter at USD $8.99 per month including 10 audio-hours; and Pro at USD $19.99 per month including 25 audio-hours. Usage beyond a plan’s included hours is billed at USD $1 per audio-hour. As you approach your included hours we notify you and let you choose to either stop at the cap or continue automatically at USD $1 per audio-hour.
  • Payment is processed by Stripe; by subscribing you also agree to Stripe’s terms. Subscriptions renew automatically for the stated period until you cancel.
  • You can cancel at any time; cancellation takes effect at the end of the current billing period, and access continues until then.
  • Refunds: No refunds for partial months. You can cancel at any time and keep access through the end of the current billing period.
  • We may change prices or plan features with reasonable advance notice; changes apply from your next billing period.
  • Applicable taxes may be added.

During the private beta, the Service is provided free of charge and may impose usage limits.

8. Third-party services

The Service relies on third-party providers (listed in the Privacy Policy) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them is governed by their terms.

9. Availability and changes

We may modify, suspend, or discontinue any part of the Service at any time, especially during beta. We aim to give notice of significant changes but are not obligated to. We are not liable for any interruption or loss of data resulting from changes, maintenance, or outages.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRANSLATIONS OR TRANSCRIPTIONS ARE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVERHEAR AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM OR USD $50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold Overhear harmless from claims and expenses arising out of your misuse of the Service or your violation of these Terms or of others’ rights, including in relation to audio you process.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. Sections that by their nature should survive termination (ownership, disclaimers, liability limits, indemnity, governing law) survive.

14. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which the Service operator is established, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of its courts, except where mandatory local law gives you other rights.

15. Changes to these Terms

We may update these Terms as the Service changes. We will post the updated version with a new “Last updated” date and, for material changes, provide notice through the app or by email. Continued use after changes take effect means you accept them.
